To be "in denial" is when a person is faced with a fact that is too painful to accept and rejects it instead, insisting that it is not true despite what may be overwhelming evidence. Basically they know something is true but refuse to accept the truth. To be in too deep means that you probably have gotten yourself into a situation that may be too hard to get out of

Being in denial means for example that you know your boyfriend cheated on you but you refuse to believe it. Being in too deep means that you have lost control of the situation.

When someone says you're "in denial" they are essentially telling you that you are refusing to see the truth in a situation. An example may be a habitual drug user. You know that they are an addict and they should know it too, but deny it or refuse to believe it.
When someone says you're "in too deep" they are telling you that you have gotten yourself too involved or too into a situation you shouldn't have.

being in (denial) means that you deny something even if its obvious you are wrong. being in too deep means the same as if you accepted to do ex-credit project due the next day even if you had alot of homework and a bedtime of 11 O'clock. (i mean alot of homework)
