Sounds like you are running win xp without sp2 or a firewall. Here is a link on how to turn off the messenger service. http://www.microsoft.com/windowsxp/using/security/learnmore/stopspam.mspx
A better solution would be to turn on the firewall built into xp here is a link on how to do that http://support.microsoft.com/kb/283673

Here is a link to an explanation of what is most likely happening http://support.microsoft.com/default.aspx?scid=kb;en-us;330904

No, it is not. You need to visit http://windowsupdate.microsoft.com for important updates and patches to your OS. You can also turn off the practically useless Messenger service by going to: Start -> Control Panel -. Administrator Options and choosing Services. You can also type services.msc in Start -> Run. In that window, find Messenger and right click and choose "Properties" For Startup Type, choose "Disabled" and also press "stop" if the process is started. Then press Ok and it should fix your problem. I also suggest you run a free firewall program which you can find online by searching here on Yahoo :). "Free Firewall".

Hope this helps!

umm if its just poping up on your screen when your not online, dont do it, and run a virus scan...its probably adware
also, download Advanced Windows Care V2...scans your comp for things other than viruses, like bad reg entries:
