New CPU and new motherboard, installed in the old case, MIGHT work, but, depends on the power supply too. good luck
By the way, you can always transfer your old hard drive into the new puter, to save you having to reinstall everything.

It matters what motherboard you have and if you're talking about the Core Duo Or the Core Duo 2. Core duo needs the special Socket M motherboard (usually notebooks), while the Core 2 uses a socket lga 775. If you only have a 423 or 478 socket board, you need cpu, motherboard, and memory. If you already have a socket 775 board, then it just needs to be compatible to the core 2.

Check out motherboards that are compatible with the Core Duo, then look to see if you can keep the same Ram. In most cases if you want a new CPU then you need a new motherboard and ram to go with it. In worst cases, you need a different power supply and case to put it in, in addition to the cpu, ram, motherboard. Oh, and if your still using an AGP card, you may have to swap that out as well for a PCI E card.
Ive installed new motherboards and cpu's only to find out that the system would not boot until I reformated the hard drive. Too much crap on there and the sucker just would not boot, but that was one time out of many.

If you want to upgrade you would probably have to change the mainboard. You have to be careful though if you have a computer from say IBM, Dell, HP, Gateway, etc. Some mainboards may not fit the case.
When you change the mainboard you may have to reinstall your operating system. Some end users on Yahoo answers have posted questions related to problems in changing a mainboard and the system not booting. Changing a mainboard is a major change under Windows XP. It does not work all of the time where you can simply just move the hard disk over.
