i am a noob in this type of stuff .... any business law related stuff ... and hiring a lawyer would be suicidal for a part time student like me ... any ideas ?? pls do add in some helpful links if possible ... thank you ~~

Not at all. An NDA (Non-disclosure Agreement) is simply an agreement between parties that one won't disclose the details of any information presented to them to a 3rd party.

A search of the web will turn up a whole heap of NDA's that can be adapted if you are really unsure where to start.

But basically an NDA needs to contain:

An identification of the parties signing up to the Agreement.

A definition of the material that is to be covered by the agreement.

A statement that the information must not be disclosed to a 3rd party.

A penalty clause - i.e. what is the punishment for breaking the NDA.

and finally the signatures of the parties.

One tip have two copies signed and dated, then once the NDA is signed by both of you, mail one copy to yourself - the date/postmarking of the mail service - its a nice easy way to provide proof of the date of the agreement if you need it.

Most NDA forms are pretty standard for handling sensitive information owned by a company. As a part-time student, you have to know why you are asked to sign a NDA and can you keep confidential information under the terms and conditions imposed on you. NDAs usually want you to keep the info for minimum of 3 years, some 5. I just don't know what could a firm do to you as an individual with no money or assets if you violated the agreement.
