in layman's terms, both refer to the same act of inhalation and exhalation of oxygen and carbon dioxide respectively.
but if you want to be more precise...
breathing is the PHYSICAL act of respiration. I.e. the inhaling of air and the exhaling of air is breathing. that's it.
respiration is a CHEMICAL process where glucose or some other organic substance such as lipids are oxidised in a series of metabolic reactions to produce ATP for energy. but to be more accurate, you would call it tissue or cellular respiration.

Respiration is a general term meaning the exchange of gases for the process of producing energy.
In humans , the gasses exchanged are Oxygen (in) and carbondioxide & water vapor (out).
In humans and many other advanced animals, respiration can be divided into processes:
I) External respiration: Breathing and the exchange of gasses within the alveoli of the lungs.
2)Internal respiration: Exchange of gasses between the red blood cells and body cells ,and cellular (biochemical ) respiration.
"Breathing" is performed when the diaphragm moves in an up and down motion causing differences in air pressure.
Obviously, all animals and plants carry on respiration, but only the more advanced among them carry on "breathing". I.e.,
Trees don't breath, but they do respire!

Respiration refers to the actual exchange of gas that occurs in our lungs. Breathing is the act by which we inhale and exhale. Respiration occurs on the molecular level.

Internal respiration is the reaction between glucose and oxygen to give carbon dioxide and water.
External respiration is the exchange of oxygen and carbon dioxide in the lungs.
Breathing or ventilation is inhalation and exhalation.

Respiration is :
The act or process of inhaling and exhaling; breathing. Also called ventilation.
The act or process by which an organism without lungs, such as a fish or plant, exchanges gases with its environment.
The oxidative process occurring within living cells by which the chemical energy of organic molecules is released in a series of metabolic steps involving the consumption of oxygen and the liberation of carbon dioxide and water.
Any of various analogous metabolic processes by which certain organisms, such as fungi and anaerobic bacteria, obtain energy from organic molecules.
So, you can see it's a bit more all-encompassing than just breathing!

Respiration: Transformation of oxygen+energy into carbon dioxide+energy
Breathing: changing oxygen to carbon dioxide, in order for us to live
I think... :s
But they are DEFINITELY not the same thing!!!
