Your motherboard has very little to do with supporting an operating system, but if it "supports" Vista Premium it should "support" Ultimate.

It should. Make sure you RAM up to speed 1 GB min. I suggest 2 GB or more if your board allow. I go read up on the board to be sure.
It look OK to me, MAX the two RAM slots with Dual Side Gigabytes.
First link your board
Second link VISTA System Requirements
Third link more on VISTA and it can check your computer

Note: This motherboard supports FSB (Front Side Bus)800-CPU. If you plan to adopt Core™ 2 Duo CPU on this motherboard, you can only adopt Conroe 800 E4XXX processors

Make sure your motherboard support WDDM video card, and present a WDDM Video card, a 2GB RAM for stable, for suppoting vista premium (Aero Glass Effect)
