part of the fear of death is instinctual as well as biological. When one is in a dangerous situation, and has a close brush with death, instinct takes over and the body produces adrenalin, as the heart beats faster, respiration increases, and our senses become acute. This response has developed over eons of time as a means of survival and self-defense.
Pyschologically, humans fear the unknown. This too has developed over time. Our prehistoric ancestors no doubt feared entering a dark cave, for fear that an animal was inside.

As humans we naturally fear death because we are born with survival instincts. Everything we do is to ensure our survival and the survival of our kin.
As you get older, this thought process changes and you realize you are that much closer to death and perhaps become more accepting. Fear of death also has a lot to do with your beliefs. If you are spiritually sound, you know that it is just part of the grand scheme of things and you are meant to go and you just have to accept it.
As some guy mentioned, HOW you die is something we are rationally scared of. We don't want to die at the hands of a serial killer or die in a plane crash. I am sure we would all like to die quietly in bed, at peace with ourselves and the world.

It is the fear of the unknown and of not getting a second chance. The truth is, no one can prove that there is an afterlife or exactly what happens after we die. We can believe to know, or even guess, but until it happens to you, there is no way you can be certain. And that is what it scary.
As for myself, I am curious and looking forward to dying.

I don't think it's so much the fact of dying as it is HOW they will die. I think people are concerned about that.
