I'm in California. My co-worker is old-er and tends to forget things she says to me, then swears she never said anything of that sort. And due to this, I am looked at as being dumb, and forgetful (and I actually have a good memory, and very detail oriented-plus I'm 26 and she's in her mid 60s). So to cover my behind, I would like to record our convo when making decisions.

Why not just tell her you are recording the conversation? In that case, it would be legal anywhere.

Check your state laws. In most states as long as one of the two people who are being recorded knows then there is no liability. Do what I did and had my supervisor sign a form stating what we agreed too.

i don't know, but do it. all these privacy laws are bull anyway. if your not doing wrong, you wont worry. also, once you turn 18, you have no elders, that elder will screw you over as quick as the young person will. and, if it's how you describe, you may be seeing just that. so do it.
