I think it is illegal for Board of Ed and Town Councils but what about a private association?

Does the minimum for a quorum have to be present to make the meeting illegal?

I assume you mean, is it legal for the members of the board of directors to discuss business outside of a regularly-called meeting? Yes, it is, but they cannot take any official action based on their discussions except at a regular board meeting. So the matter must be on the agenda and they must vote in the open. Also, they may have the right to discuss some matters in private, such as legal advice, contract negotiations, personnel matters, etc. You should read your by-laws for starters, and your state probably has a Condominium Act that sets certain minimum standards. Try a web search:" Condominum Law in (state)". Yes also, there must be a quorum for general meetings and for board meetings, and the bylaws will say what they are.

You would have to check the by laws for the organization. That being said most by laws are the same or similar.

Likely, it cannot be entered into the minutes of the association and a hearing and vote in a formal meeting would still have to take place on any decision they informal group may have came to, but you really can't stop people from informally meeting and discussing things.
