1. Take help of CA or CS.
Choose name.
2. Make search with Registrar of Companies.
3. If name is available, make Memorandum of Assiciation and articles of association.
4. Pay fee and submit various documents.
5. If all is OK, u will get certificate of incorporation.

Go to the ROC - Registerar Of Companies. They have their offices in every city. There you can get the complete details for incorporation of a company

You prepare an application on a prescribed form and apply to the registrar of companies...Normally a Chartered Accountant will do it for you for a nominal fee...
