will i lose all the files that i have in the volume that i'm going to convert from FAT32 to NTFS?

no, but then it will be hard to convert back to fat32

No you will not loose anything. You will be prompted that the conversion will not take place until a reboot. After you reboot you will see a Blue Screen and the conversion process taking place. Do not turn the computer off during the conversion process or you could lose data.

When we image computers we install Windows XP on a FAT32 partition and then convert that to NTFS. There's no point to keep a Windows filesystem on FAT32 anymore. NTFS 5.0 is much better. Although FAT32 works better when doing SysPrep and Ghosting.
