If I understand this correctly you have 2 computers and you hook the internet/modem to the first one and you connect the second to the first computer via a ethernet cable?!?
If so then simply easy....
You need a crossover cable. A crossover cable will allow two machines to talk with each other instead of the normal straight through cable that generally doesn't agree with machine to machine connections.
Either that or buy a cheap switch or router and follow the directions out of box.

Are you using a crossover cable to connect the two PCs? You have to use a crossover cable to directly connect 2 PCs.
The 169.254.x.x IP space is called APIPA or Automatic Private I P Addressing. If you don't have a DHCP server, your PC will assign itself an APIPA address. If you're using ICS, you should get an IP address from the PC with 2 NICs in it. But you won't get an IP address if you're using a straight through cable.

Do you have a router in the mix?
This is how your set up should be:
Broadband modem ---plugs into WAN side of router---each computer plugs into the LAN side of the router (if the router has more than one LAN port).
If you're missing a router then you need to get one in order to have 2 PCs with broadband access. It's the router that should hand out an IP address for both PCs.

I am resisting the urge believe me. You gotta have a router to use internet with 2 pcs.
Of course the IP is screwed up because the only pc your modem sees is the one connected to it. The second pc doesn't get to a router (DHCP server) so it's totally lost.

if you are using dsl, do this:start/ control panel/ (with a blue back ground) click on network and internet connections. (with white back ground, click on net work conn,)/ if you had the white back groung ignore this, now click on network connections/ you should see a icon "local area connection" RIGHT click/ properties/ no in a box like list, dubble click on internet protocall/ dot the box " use the folling ip address" now enter as this is, "IP: 192.168.1.15 Subnet mask: 255.255.255.0 Defalut gateway: 192.168.1.1"
For Cable do the same, but for the ip use this, "ip: 192.168.100.14 Subnet mask: 255.255.255.0 Default gateway: 192.168.100.1
Next: where it says "use the folling DNS server addresses" enter the default gateway in there.

DHCP SERVERS PROVIDES IP ADDRESSES TO COMPUTERS. SEPARATELY. DOES EACH WORK PROPERLY.
ADD A ROUTER!
DOES EACH COMPUTER HAVE A VALID STATIC IP ADDRESS? BEST PRACTICE.
DID YOU USE IP ADDRESS IN YOUR ISP'S RANGE.
