ASUS is generally considered to be the top company when it comes to motherboards, and the P5B is very good for overclocking, and is very easy to use. MSI is not in the top tier of motherboard companies, I would say go with the ASUS.

Asus P5B is the generally accepted best motherboard for LGA775, but it is rivaled by DS3, which I have. I tend to think it is a little better because it can reach more hardcore FSBs. Look into the DS3. And MSI is not a very good-quality manufacturer right now, they are improving alot, but I'd say wait on an MSI until they are really ready to "play with the big boys", like Asus and Gigabyte.
