in the event minutes of an annual general meeting are lost/misplaced what is the status of the board of directors and if this board is dissolved do motions still stand or revert back to the previous board of directors?

If the minutes of the meeting are lost, and NO copies exist, either video or otherwise, and their is no recollection of what motions were voted on or how they were amended, then the meeting would need to be rescheduled, or a quorom of those in attendance would need to be held to review the meeting.

The motions do stand, if there is no disagreement. The motions passed would not revert to the previous BOD.

If there is a disagreement about the motions, etc... then the board should reconvene to discuss.

I would find it hard to believe there are no written records from the meeting. Notes from those in attendance could be reviewed and considered as evidence.
