Goku cant use ne of his powers and neo cant use ne guns. just plain old martial arts and flying.

Goku would probably underestimate Neo at first and play with him for awhile as he did with his other enemies. He would use his superior saiyan speed and evade every strike Neo would dish out. Neo would fall to the ground after every counter attack (ofcourse) and would soon laugh a maniacal laugh. Then Neo would unleash his full power, beat Goku down and bring the saiyan to his knees. After a few flash backs and the routine "we're doomed" background music, Goku would do somethink that would finish Neo off. So my answer is Goku.

I am going to be more radical and choose Neo because it takes Goku too long to power up, and Neo can manipulate the matrix, creating new scenarios at will.
