I'm assuming you have a win98 comp you are doing this to... here is a link to the steps..

You should use the CONVERT command. See the article http://support.microsoft.com/kb/180134/en-us

you need to reformat it,if your using ntfs now,u cannot change to fat 32 tru dos..u need reinstall windows.back up 1st//
