Try to format it from the DOS prompt. Type "format d:" to format it. Type "format /?" to get help regarding the format command.
If that doesn't work, delete and recreate the drive. To do this in Windows 2000/NT/XP, (not sure about Windows 98):
Right-click "My Computer" in Start Menu or Desktop, and click Manage. In the Computer Management window that opens, click on "Disk Management" on the left side.
Now on right side, you'll see all partitions in a list, and also as they're laid out physically on the hard disk. Right click on the D drive (either in the list, or in the physical map), and click "Delete partition". Follow on-screen instructions. Now, after the delete operation is complete, you'll find that D drive is replaced by Unallocated/Free Space. Right-click this, and select "Create Partition" (or similar option). Follow on-screen instructions. You will also be given the option to format the new partition during the create operation.
Hope it helps.

It sounds to me that the partition is corrupted. You need to have a healthy partition in order to format it.
Either get a computer professional to fix the problem, or you can attempt to use a program like Partition Magic to delete the partition and recreate it. Before doing any of this, I would recommend backing up any important data on a CD.

You need to state the OS operating system. Use FDisk at the DOS prompt to find out more information about the drive.
