That would be like getting rid of Congress, and having everything be up to popular vote. Disaster. The function of the board is similar to that of Congress- they represent the shareholders- what we need are boards that aren't in bed with management, and will stand up for what's right by the shareholders.

Corporations are PRIVATE entities, even if they are publicly traded. When they talk about a public company that means the stock is available to the public for sale. Imposing a democratic management would be akin to imposing that your family begin a democratic management style. Your kids get to vote on whether you should stay in your job or take another.

Right after they impose pay limits on baseball players, pop-singers who don't wear underwear, and obese police officers. Please get a clue before you imply that our government should halt all free-market economy activities.

If it makes you feel any better though, with all the hearings that the Dems plan on holding for corporations recording record profits, you can expect a market fallout and subsequent trickled down mini-recession in the next 6-8 months.

Are you insane? This is a free-market capitalist economy. Congress has no right (and no business) to interfere with internal corporate decisions such as compensation packages.
