It depends on the following:

1. If Vince McMahon booked the event, the Undertaker would win.
2. If Eric Bischoff booked the event, Goldberg would pin him.

This is because both men served their own purposes, and still do for that matter. Since McMahon came clean so long ago and broke Kayfabe, admitting the "fake" or "booked" finishes, we know that a company like the then WWF or WCW would have their babyface win. Undertaker & Goldberg were both company's for the time being.

Back then, Bill Goldberg was fresh out of WCW Power Generator - their development association. He had no wrestling or MMA background, just sheer power, and a football background. At the same time Marc Calloway (the Undertaker) was already established in the industry. Calloway also wrestled in the WCW prior to signing with the then WWF as a part of the Twin Towers, that dominated the WCW Tag-Team division. He had a wrestling understanding.

If the match was booked as a "Shoot" match, where the outcome isn't predetermined, like a UFC, or other MMA fight, my money would be on the Undertaker, due to his knowledge, and one other little known fact - unless you've really followed the industry.

Back in the day, Bill Goldberg had disrespected Chris Jericho, a cruiserweight competitor in the back room, threatening him. Jericho is a legitimate wrestler, with a LOT of training in Canada at the Hart Dungeon, in Luche Libre in Mexico, in Puerto Rico, and in Japan. In those places, you listened, learned, or suffered. Bill Goldberg bought into his own hype, and was unceremoniously beat up by the smaller man.

Undertaker. By simple submission.

Taker in his day was still not the greatest athlete, he was just huge and that was his gimmick. I'm not saying he sucked or anything like that but Goldberg is a true athlete. You put the two of them on the street and Goldberg wins, hands-down. Now, in the days of 1994, goth and all that other stuff was huge and there is no way the Undertaker would have been taking dives against Goldberg. The Undertaker was so huge during that era because of that/those culture(s) and when a guy is number one with the fans he rarely gets scripted to lose. Goldberg was huge in his day and was scheduled to win as many as he did.

Disclaimer to anyone wanting to rip me. I think wrestling is a very violent and difficult sport and would never call it fake, but I do think there is huge level of choreography and scripting going on.
