If you need to convert and not reformat, then:

Click "Start" and click "Run"
Type CMD in the blank and click "OK"

In the black window (command prompt), type:

convert X: /fs:fat32.

where the letter X is the letter of the drive you want to convert.

Pop it into a machine, boot it up, and run "format" on the drive. When formatting pick FAT32 as the filesystem type.

Easiest way is just to re-format it choosing FAT32 ad the file system when asked.
