It includes things like factory rent, insurance, utilities, property taxes and depreciation, as well as indirect materials (ancillary items) and indirect (non-touch) labour (supervisor, custodian, security personnel).
In a retail or merchandising accounting setting, it would include storefront rental, insurance, utilities, property taxes and depreciation, and also advertising, etc.
Outside of accounting, it means above you, as in "clouds floated high overhead."
