The Carling Cup was originally called the League Cup. It was meant for competition between the English Leagues (Premiership, Championship, League 1, League 2). The FA Cup is a competition for all the League and non-League clubs to participate.

Don't take this to the bank, but...
The Carling Cup is only for clubs in the top 4 divisions of English football (Premier League and the Football League, which is the League Championship and Divisions 1 and 2). The FA Cup is open to all levels of English football.

its woth adding that many top sides play reserves in the Carling Cup. The FA Cup is the most famous club cup competition in the world. The CArling cup isn't ;-)
