I wish to appoint a dealer to sell my companies products ( Boats )

I find it hard to believe you make Boats and (it seems) have no-one to turn to for Legal Advice.

Ask the guy who does your accounts = I'm sure he will know some-one who is experienced in drawing up Dealer Contracts ...
