Since it is the SYSTEM process that is running away with CPU and not svchost or services.exe, then a driver is most likely causing the problem. Here are some known culprits:
hp photosmart color printer drivers and some lexmark printer drivers. They are poorly written and get into trouble alot. Try uninstalling them.
zone alarm. Sometimes gets into a tither with winsock2 and
causes your network driver to go ballistic. Try uninstalling it.
Further, check your network connection and see if it is constantly sending or receiving. Temporarily disable the device if so and see if that stops the runaway system cpu usage.
Your CPU Fan is not working, or for some reason (like dust in the air plennum of a laptop) the CPU is getting too hot. This causes havoc, especially with steppable processor speeds and thermal monitor drivers on some systems. Get FANSPEED application from the web and check out.
Check your system event logs for errors being reported by the operating system and see if there is a correlation.
You CAN have a virus or worm in your system, and they can infect the I/O system and cause this condition, Boot your system into safe mode w/networking and try a free complete virus and trojan scan from trendmicro.com.
Get a free bootable Linux CD (austrami or ubuntu) that has the x86Memtest application and test your memory. If it passes, then boot the entire Linux system from the CD. If your system runs good then it can only be a Windows software problem or your hard drive controller....
Still not solved? Open the case and pull every non-essential card. If you have 2 video (one on MB, and other on card) then switch ports and pull that card as well. Go into BIOS and make sure S.M.A.R.T option is disabled on your Hard drive. Boot the system and see if you have a change, then it's basic trial and error finding which peripheral/driver is bad.

try this...
Start -> run
Type in msconfig
go to the startup tab and un-check EVERYTHING. (you can always turn it back on)
Reboot (you will get an error the first itme you reboot telling you that your startup has changed, hit ok, or check the box and you will never see it again).
If that does not help then ask the 10 year old down the road a ways, they always seem to have the answers. :-)

what do you have running on the task bar (lower right corner of your screen with all the cute little icons)
you should only have a few things there
firewall,Anti-virus, etc...
All that quicktime, Aol, realplayer, basically the junk you don't need running all the time right click on them and disable(exit) them

You need to have more RAM atleast about 512MB and P4 Duo core 2 processor (latest) .
You have not given any idea of what software you use when this problem occurs. whatever software it is, it surely does occupy a lot of memmory.

hey are you using some hidden software i think you are using how much capacity for c drive may be its not enough check your computer services which running hidden either how much capacity for ram is it one module ore two may be one is not compatible check your fan is it working Popper on CPU check cooling also, so after let me know , i think cooling is not proper or heat sink is not fixed or its move.
