1. No, the upgrade overwrites your old XP installation, though you can go back if you don't like Vista. IF you purchase a full installation of Vista and install it on another partition, you will be able to do this.
2. I'm not sure about that, but you can order the upgrade online.

I love my Vista rtm ,I wont be looking back !
The actual dual-booting process is, however, relatively painless and straightforward. On a machine with Windows XP installed, the only prerequisite is that the hard drive has enough space to accommodate a Vista installation, or that you have a second drive to drop Vista onto.If you only have one physical drive, then you’ll need some spare space on the disk for a Vista partition. This can be a drama if your XP partition takes up the entire disk, as you’ll need to resize it. Unfortunately XP won’t help you here. If you have a drive partitioning tool like Acronis, well and good. But if you don’t and you’d (understandably) rather not pay for it if you don't have to, there are alternatives.

Thats almost a scacry question. I know it is against the law to put one copy of XP onto 2 home PCs, even if you own them boith and they are next to each other. What would I know, I got a new PC last month and dumped XP off it before it ever got activated. Running My Copy of Windows2000pro and My Copy of Ubuntu Linux. I am allowed to look at and change any of the code I wish to. I am allowed to learn from my mistakes and my succeses. I am allowed to learn without XP/Vista. I like that. But I still make backups. of windows, Linux is rather stable.

Blank info is due to the fact that Vista won't be available until the end of this month
The retailer's fault for not explaining this to you
