Well, I find it funny that some people aren't addressing the question and just naming their favorite bands. I recognize that my favorite bands aren't necessarily the most influential.
Absolutely the Beatles, for bringing rock across the Atlantic Ocean. In their evolution, they were a huge influence on the 1960's style that so many other great bands emulated. They directly jump started psychedelic music. From them came The Who, who contributed to punk rock. From bands like Hendrix and The Doors, the evolution to Led Zeppelin to Black Sabbath and into Heavy Metal can be seen.
While some bands influenced their own given sub-sections of rock, the Beatles were the beginning of everything.

Wow. The answers to this are as diverse as the whole genre of rock.
Nirvana was a huge influence in the downfall of hair bands, and brought on the whole grunge period. Motley Crue and Poison were the pioneers of 80s hair metal. Some will say Led Zeppelin and Queen are the greatest rock bands ever. T-Rex brought in the Glam. The Ramones and The Clash - punk rock.
Everyone will have a different answer to this, based on their own tastes and point of view.

2 very important bands indeed. i love floyd and have only come to really appreciate the beatles in the last few years.
and the beatles more as their career was longer
did floyd really start the psyche. period,,i think it was heading that way with led zepplin and the doors among othersduring the late 60's and early 70s
i'm sure everyone has a dif. opinion as to who was most influential in changing the scene. some bands burn bright and fast like sex pistols
sometimes pioneers are shadowded by who they influenced

I think the Beatles win hands down.
However, I don't think Led Zeppelin gets enough credit for its enduring influence on rock music. Everything that came after Led Zeppelin was indelibly changed. Throughout all of its manifestations and metamorpheses, the fingerprints of Led Zeppelin are all over it. Where classic rock and glam rock sprung from Led Zeppelin I and II, alternative music has undertones of Physical Graffiti. If you listen to Audioslave, you could swear you were hearing a new incarnation of Led Zeppelin with modern production capabilities and a slightly dirtier sound.

U2 is one of the most influential bands. there is hardly a band out there that does not name U2 as an influence or have at least one member who likes U2.

I agree with both of your choices, but there are SO many who've made their mark in different ways:
- Aerosmith
- The Who
- The Ramones
I am curious to see how people respond to this. Music is something that's as personal as the individual talking about it.
