if all teh super heroes and super villains from DC teamed up and if all the marvel super heroes and vilains teamed up and for some reason thos two super armies decided to have afight to the death who would win?

It would come down to who had the publishing rights. Both companies keep enough "cosmic" and "eternal" characters around that could "wipe out reality with a thought" that both companies would destroy each other.
Check out the Marvel vs. DC series that came out a few years back, then read some of the creations when the companies merged. It creates some interesting battles.
If I had to pick one character to win thewhole thing, I'd say the wasp. I know you are asking yourself why, but she, single handedly, beat Magneto and the X-Men while on an alien planet (See Secret Wars). If she can do that, she can beat anyone.

Tough one, but I would have to say the DCU for one main reason: The Green Lantern Corps.
If there were only one or two GL's involved, the fight would be pretty even. But, under the conditions you set, the entire Corps would get involved, and that's where we get ugly. The GLC is a massive intergalactic police forcem numbering in the thousands. Enter them into the equation, and it's over.

if it is only the heroes and villians then marvel would win but only by a bit.
If we are talking about all the entities and such then marvel would win in an eyeblink. Eternity and death, the in betweener, master chaos and lord order are more powerfull than the mythological omnipotent judeo-christian god in comic world.
EDIT: Wait, I revise my statement, Marvel has the scarlet witch, she can re-write reality so dc doesn't exist. Marvel wins easy, game set match.

I prefer the Marvel characters, but I agree that it would be a stalemate because both sides would wipe the other out ( if it was an all-out war) Too bad you couldn't just ask "? Flash or Quicksilver"

It would be a stalemate until Howard the Duck walked in. He would tip the balance in favor of Marvel.

despite the fact that dc is now becoming a little more darker and fresh with stories i would have to say marvel on this because of history and character strength

I believe it would be a complete stalemate. I am a fan of Marvel but I would still have to say that both companies have kept an even balance of superheroes.
