If two men were to surgically exchange testicles would the testicals create sperm with the dna of the downer, or would the sperm contain the dna of the downer recipient.

The cells that produce sperm (spermatogonia) are part of the testicle. The DNA in a sperm cell is copied from the DNA in the parent cell, which is the spermatogonium. So a person receiving the testicles of another man ("doner", not "downer") would produce sperms with the doner's DNA.
