It should be done in a dignified and discreet manner. If there's an American Legion center in your area, I believe they take flags not in serviceable condition and give it a "proper flag ceremony."

Fold it up as neatly as possible and take it to the VFW and they will ceremoniously dispose of it. There is usually a drop box on the premises.

Your local VFW or American Legion will be more than happy to handle this for you, or you could call them and they'd be glad to advise you.
