Let's see. Spider Man 's spider sense would not register Batman as a bad guy, nor truly a threat to him, since Batman does not engage in childish "Let's see who's tougher!" fights. Batman's got chemicals that can dissolve the webbing, and probably a new (patent pending c.o. Wayne Industries) nonstick coating on his bat suit. Spider man would hesitate to use his full strength against Batman. Batman could just pull the same old trick as he did against Superman when they first met: "If you touch me in any way, a bomb will kill an innocent man." Batman is just a better thinker than Spider Man is. Spider Man suffers from too much personal uncertainty and moral confusion as to whether he is doing the right thing. Batman has no such hesitation. Not that Spider Man isn't a hero, but Batman knows his cause is just. This might seems like a petty point, but that is why Batman would win.

Tough call. In a random encounter (meaning, Batman has no time to prepare), I think Spider-Man would take him down. Spider-Man's strenth, speed and agility would come into play heavily. Also, his spider-sense would pretty much negate any offence Batman would hope to use by setting traps and/or hiding in the shadows.

However, Batman has gone up against people more powerful than Spider-Man and was still able to come out on top. Given enough time to study Spider-Man's strengths and weaknesses, Batman would probably find a way to beat him.

All planning and randomness aside this comes down to WHY they are fighting. We've seen Batman take down cosmic powered beings like Superman and Darkseid with little prep time. We've also seen Spider-man continue to fight long after he should have fallen and given up. In the end I believe that if the reason is strong enough Spider-man wins. We've seen people far more powerful and ruthless then Bruce Wayne lay a crippling beating on Peter Parker, and they are still surprised when he staggers back to his feet.

No matter how broken and bloodied he gets, Peter always reaches into the deepest part of his reserves and presses on. It his his indomitable willpower that would keep him coming back until he gets in that one punch that breaks Bruce's jaw and knocks him out cold.

The answer to almost any Batman vs question depends on weather it is a sneak attack or not. But in most cases, and surely in this one it is Batman. Because in the end Batman beats most any other hero because Batman cheats

It depends on if they meet in a chance encounter, or if Bats goes hunting. Spidey wins any chance encounter, but the Dark Knight has it over the web head if he gets to plan ahead and lay traps.
