Ethernet is just the technology and topology used by computers to connect to an Ethernet type network.
Whether you use Cable or DSL, the connection from your computer to the modem is over Ethernet.
The Ethernet controller has two parts. A hardware piece that can be internal or external. In your case your Ethernet controller is probably internal. The second piece is a software driver that tells the computer how to the Ethernet controller. This is what you are seeing in Device Manager.
If you have a yellow exclamation point something is not right. However, the yellow exclamation point just means caution and is not necessarily a failure.
There can be a number of reasons for this, but without any further information I can't provide a solution.

If you have a exclamation mark against you Ethernet controller it mean that there is a driver problem and the Ethernet card in you computer is not working. If you are connected to the Internet by other means and don't need it right click and disable, a red cross will be against it now. If you wish to have it working right click on it and use update driver. If this fails you will need to find out what Ethernet card it is and either use the driver disk that came with the computer or manually look on the manufacturers website. Good luck.

It is connected to your network. If you have only the one computer then I'd guess you don't need the ethernet controller. Being of a mind that you don 't like yellow exclamation signs in your Device Manager you could go above and do a search in Answer. Green box above, type in white box.

The ethernet is for conecting a broadband modem, it is more reliable than usb but if it has a yellow exclamation mark this means it has a problem, and may not work properly.

Presumably you are connected to the net via USB and not ethernet, which is fine. The ethernet connection is a better quality connection but USB will still do a good job.
(I think the solution to the yellow question marks is to download ethernet drivers.)

Its the computers networking device.
Its what runs the plug ast the back of your pc thats slightly bigger than a telephone plug.
Its used mainly for home networking and internet access.
To fix it you will need to find the correct device drivers for it.
