Is it legal for a software co. to Blacklist anyone who ask for a refund?

if so whats the down side ,is it really a big deal for them to blacklist someone !

Probably. They are under no obligation to lease their software to anyone. Their obligation only extends to what the license agreement says, and those are almost always skewed in the company's favor.
