Yes, but after you install all of the Dell drivers (www.support.dell.com), Service Pack 2 and all of the Windows updates (which you definitely should install), you will only have about 3-4GB total free space to install other apps and for data. Don't try to fill up the whole drive: you need about 1-2GB of free space for the OS to work properly. If you get under 500MB, you'll start noticing some very strange things.
If you're simply going to surf the web and use Office applications, you should do just fine; however, you'll probably be disappointed if you want to do much more with it.
Beyond the hard drive limitation, your processor is pretty slow (I believe those are generally PIII 700MHz or so) and probably don't have much in the way of RAM. Also, the hard drive might be on it's way out (hard drives are more likely to fail after 2-3 years, laptop drives even sooner given the size and heat issues). Basically, XP may run slowly on that PC.
I would recommend strongly against upgrading the components... it would make more sense to spend more money and get a far faster laptop with a bigger hard drive and more RAM.

Yes but do a clean install, as upgrading over ME could give headaches, make sure the xp disc is bootable, as I am sure if you only have the upgrade version of xp then you will not be able to boot from it doing a clean install.

I've run XP on a 6.4Gb hd but after installing a few office programs there was little space left.

Normally Win XP only need 2-3GB HDD place.
Do you have intention to install other application, or save data on the same HDD? If yes, I don't think it is enough. :(

Yes it is....as i use to have a Maxdata Laptop with a 6gb HD..and a Celeron 333 processor and 96mb ram
Just turn Off 'System Restore' as that uses HD space
and upgrade your ram to at least 256mb

yeah it will go on, I think xp only takes about a gig of space. but not much space for other stuff.
