Select Start - Run - Type 'cmd' - OK
The prompt will look like
'C:\Documents and Settings\Administrator>'
The prompt will be like above if you have installed Windows in drive C.
Type CD\
You will get your root directory. The Autoexec.bat file will be located at C: normally.
Type edit autoexec.bat
You will MS-DOS Editor. Make necessary changes then save it using File - Save then Exit the program.

Windows XP Autoexec.bat, is in the root directory It is a dummy file. the commands contained in the file are never executed except for the set command environmental variables.

Autoexec.NT is used to set up the emulated DOS environment for a DOS window

the best possible solution is to create a normal batch file and place it in the startup folder which is present in the start menu.
i.e., if u want to batch file to run when u start ur computer..
