Hmm, can you get to any teen parties or anything? I know in Baltimore, MD, they are blocking out a section of the Maryland Science Center (NOT geeky, place has an awesome view of the fireworks) for a tenn party with refreshments, music, and dancing. Check for similar teen parties in your area.
If you can't get to anything, get as much stuff to make noise as you can (fireworks, air horn, pots & pans, whatever) and get set to just go nuts, making as much commotion as you can at midnight, after playing some games or stuff beforehand. Those newer DVD based games can be kinda fun for groups, shouting out answers about film or TV clips. We like Scene It!

Ummm... why dont you try a board game, kareoke, playing video games, twister, card games, listening to music, watch a movie, take a walk, watch fireworks on tv,
take a shower together ( no just jokin) umm.... lets see......
id say some sort of games, they are always so fun..... Try building card castles if thats your last *card*

It all depends, if you're the same gender then i dunno, do what girls do, shop, talk about boys, go underage clubbing , eat stuff you know. And if your friend is a guy, he'll know what to do ;).
