You have no choice but to format if you convert FAT32 to NTFS. There's no other way around it.

To format a dynamic volume
Using the Windows interface

Open Computer Management (Local).
In the console tree, click Disk Management.
Where?

Computer Management (Local)

Disk Management

Right-click the volume you want to format (or reformat), and then click Format.
Select the options you want, and then click OK.
Notes

To open Computer Management, click Start, and then click Control Panel. Double-click Administrative Tools, and then double-click Computer Management.
You must be logged on as an administrator or a member of the Administrators group in order to complete this procedure. If your computer is connected to a network, network policy settings might also prevent you from completing this procedure.
You cannot format the system or boot volume.
File compression is supported only on NTFS volumes with cluster sizes 4 KB and smaller.
If you select the Perform a quick format check box, the files are removed from the disk but the disk is not scanned for bad sectors. Use this option only if this disk has been previously formatted and you are sure the disk is not damaged.
Only the NTFS file system is available for dynamic volumes in Disk Management. However, you can format dynamic volumes with either the FAT or FAT32 file systems using the format command.
Using a command line
That is the only way to convert it sorry

Hey dude without formatting ur pc cant be changed to ntfs,
u do one thing put ur stuff away from c drive and empty everything what u got in c: drive.then format windows and
choose the ntfs thats the best way pal.

First of all before we get started please tell us what operating system you are using some older operating systems will not be able to utilize the NTFS format. and if your operating system is to old to use NTFS you may need to upgrade and be required to format sorry but at least I am being honest about this.

A Program called Partition Magic ver. 7.0 will be able to convert FAT 32 to NTFS without destroying any data.

first u ned to format ur disk..
and then right click on the selected disc and click format..
u can do tht frm der

from a DOS prompt:

convert c: /fs:NTFS

This will convert your computer on next reboot.
