To win a woman's heart:
1. Attraction
She needs to find you attractive. Generally speaking, if she does not think you are handsome, she will not see you as a potential boyfriend or lover.
2. Personality
You should treat her kindly, respect her wishes, make her laugh, be honest, and be faithful. If she appreciates how you demonstrate those traits to her you are likely to win her heart.
Bonus: Money
Women tie lots of money with being able to buy things that will make them happy. If her boyfriend has lots of money, he can easily share it with her, which makes her happy. Money isn't everything, but it is an added bonus.

There is no way to 'win' a woman's heart. They know within 5 minutes of meeting you if you are someone they want to date or not.
Be funny, be charming but most of all, be yourself.
