Neither.

Batman is at his physical peak, is a master of unarmed combat - possibly unrivalled, has his utility belt and the Batmobile which has a wide variety of features.

Ghost Rider has superhuman strength, stamina and durability and is impervious to flame.
The Johnny Blaze incarnation could also throw Hellfire which could burn/melt either normal matter, or leave the normal matter alone and burn a person's soul, which was extremely crippling. He could also use it to manifest three-dimensional objects (once using it to make a decoy GR to "prove" he wasn't GR), or create a ramp to jump with. He also could create a solid motorcycle which was silent (although hot, as the Eel noticed in GR21). This motorcycle was extremely fast and capable of incredible stunts impossible to normal cycles.
The Dan Ketch incarnation had a chain which mystically could grow in length, the links could separate to become projectiles, the links could also change to sharpened points like shuriken, and the entire chain could stiffen to become a spear, club or staff. His Hellcycle was made of more solid matter with only wheels of flame and was capable of high speeds, the front piece could drop down over the front wheel as a battering ram, it could ride straight up walls, over water, and on one occasion rode in a cork-screw fashion around a cable (GR#6). If it was ever blown up he could mystically "un-explode" it (GR#11 I believe). If the Hellcycle was ever taken from him, or distant from him, he could mystically call it to him (GR#18, I believe). In a pinch, he could transform another motorcycle into a (different) Hellcycle (Hearts Of Darkness). If injured himself he was capable of regenerating both himself and his costume. Plus GR had his Penance Stare, capable of causing the recipient to feel the pain they had inflicted on others.

Both Batman and Ghost Rider can scare the living daylights out of villains at first sight.

That being said, as for an actual battle...

Ghost Rider I fought only the guilty, because of Johnny Blaze's subconscious, and those who fought against him. Ghost Rider II fought those who fought him and whoever was guilty of causing harm to innocents. Batman fights to protect the innocent, those who commit crimes, and those who seek to fight him - although if he can he avoids this.

Neither Ghost Rider nor Batman would vicariously fight, so they would not fight each other. Since there would be no fight, there would be no winner.

This fight depends upon prep/ no prep for Bats. Remember with preparation, Batman is virtually unstoppable. He has taken out JLA, Superman and even Darkseid. He has Zatanna, Dr Fate and Etrigan at his disposable who are great mystics and can provide insight and weakness to Ghost Rider. Without prep, just an inpromptu encounter, GR wins all day. His penance stare alone destroys Bats. His stare will reach into Bruce's soul and bring back all the pain Bruce is holding inside. So it depends on prep or no prep.

Ummm Ghost Rider would win hands down..And heres why he's a demon and there is no way for the Bat's to fight him with out gettting burned by his flaming skull. Plus Ghost Rider would grab him and give him that stare and make the batman be reminded of all the pain he caused people !!!!

Whoever published the book. If it's a DC title - Batman. If It's Marvel, Ghost Rider. If it's one of those amalgam jobs, they'd fight twice, with each taking one round, then team-up and fight the real bad guys who had them fighting each other and the story would be ignored by both companies for purposes of continuity...

Batman, he is smarter. He trained most of his life while Ghostrider is just some Biker/demon hybrid.
