Probably because it has some violence and a little nudity and sexuality.......I saw it this weekend......Ratings are geared more towards making sure kids don't see too much.....

Ahh what a great movie, I saw it last night, and the CIA is so intriguing, it's rated R because of the sex, there is some nipple, and oh was anyone else turned on by Matt Damon and Jolie's sex scene....
