Try the Carnelian Room - it has a great panoramic view of the city. I've been there for New Year's Eve to see fireworks and it was very nice.

All the suggestions given so far as great options. You can also check out today's (Wed, 12/27) SF Chronicle, they just came out with a list of 10 best restaurants in SF.
The most important thing to remember is, to contact the restaurant beforehand, and let them know that you will be proposing. Most of the independent-owned restaurants (not chained!) will be willing to help make the night special.

The only thing that I can think of what best decribes what you are wanting is the Hornblower Yacht. You get the best views of the Bay Area, you can propose on the bow of the ship underneath the Golden Gate Bridge, Sausalito, etc. It's not to crowded, they have a live band that plays dining music and most cover songs, and most of all it's very romantic.

It depends on how unique you want the evening to be and adventurous you both are. If you want simple and classic, go to Gary Danko or Boulevard -- though they will break the bank.
Cafe Jacqueline is known for their souffles, and as a romantic venue. Though it is a bit cramped, so go on a weeknight.
If you like Indian food, Maharani has an amazing Fantasy Room, which must be a great place to propose -- and the food is great there too.
You have a lot options in the City, so happy hunting.

You've gotten some great suggestions but be warned Aqua is very pricey.
If you want the quintessential SF experience and great seafood I suggest Tadich Grill which is just two door down from Acqua.
Another great seafood place is the Hays Street Bar and Grill on Hayes at Gough.
Another intimate place with great food that is reasonably priced is Alamo Square Grill on Fillmore at Grove.
Le Colonial on Cosmo place [between Post and Sutter and Taylor and Jones] Vietnamese food in a colonial era decor room.
Farallon on Post at Powell is wonderful but a bit on the pricey side. But the room is amazing like dining in an undersea garden.
Boulevard on Mission and Stewart is great food, in an art nouve room. But again a bit on the pricey side.

The above comments are sound... I would add the following:
Gaylords... great Indian food (I proposed there in 1985 and got a "yes")
The Van's on the Penisula... GREAT views, reasonable prices... outside of the city. Again INCREDIBLE views !! You're up on the Belmont-Hillsdale hills... looking out over the bay.

Micheal Mina at St. Francis Hotel... very romantic, high end, and excellent food!
PS: I totally forgot, the most amazing place to propose would be The Ritz Carlton in Half moon Bay!!! breath taking view, good food, kinda expensive but hey, it's so romantic that she'll remember it for the rest of her life...

There's the wharf area....or the Macy's square/courtyard area.
My husband took me to Lawry's..and they made up the table nice with roses per his request I think. The ambviance (spelling?) was nice. You want the evening to be memorable.
Oh...another place is the Rotunda in Neman Marcus. I'm not sure if they do dinner....but you could check it out. It's really nice too. Best wishes to your future together.

I really like Gary Danko. It's not cheap but has the best value for food given the price that you're paying for. It doesn't have view but is contemporary and classy.
