Spider-Man could win by using his web to trap the Flash at one place (has been mentioned here as 'spray the ring floor with webbing'), like what Static did to trap the Flash with his 'Static Cling', this happened when the Justice League guest starred in an episode of "Static Shock". Then Spider-Man could easily knock out the Flash with one punch.

Flash wins this one. Spiderman has the spider sense but what help is that when it is gonna be tingling for one blow and by the time he moves the other blow is already coming. Although the Spidey may get the tingle he surely won't have the speed to avoid the sheer number of punches the Flash can muster. And lets not for get people this is a boxing match so no webs allowed and no swinging from the rafters. This equals super fast beat down issued by Flash. The Flash would knock him out, pick him up, run him to the hospital, pick up Mary Jane, and put her at his bedside before poor ol' Peter woke.

Well, first off, one might want to consider what super powers are allowed, though in the end, I don't think it would matter.
I should also point out that you've mixed the DC universe (the Flash) with the Marvel universe (Spiderman)... a more appropriate conflict would probably be Marvel universe's Quicksilver and Spiderman... but anyway.
So assuming each has all of their powers working (and Spidey is NOT in the Black Venom suit... just his usual pj's)
The Flash has super speed on his side, he's faster than spidey, and can certainly strike more blows, as well as dodge more, than spidey can.
Spidey is slower, but much stronger, so the blows he lands will do more damage. He's also got his clinging ability, which reduces knock back, and his webbing, which he can use in area attacks that the Flash may not be able do dodge.
Reasonably even at that point, one could argue an edge either way.
The deciding factor is luck and unluck (bad luck). The Flash has neither, Spiderman has both.
Based on comic histories in both universes... the Flash lacks these traits and their associated impact on his abilities.
Spiderman on the other hand usually suffers from unluck initially in a conflict... as demonstrated in the comics and the movies... spidey gets the stuffing knocked out of him, regardless of the villain he is combatting, but it a mugger of Juggernaut.
But in the end, his luck invariably saves him... and he usually wins as a result. The first Spiderman movie demonstrated this very well in the final battle with the Goblin, as well as in the second with his victory over Dr. Octopus. And in the comics, spidey actually did beat Juggernaut - one of the most powerful beings in the Marvel universe (by definition - Juggernaut - unstoppable force, immovable object).
Based on that - the Flash kicks Spidey around, pounds him terribly, but loses to Spiderman due to some lucky circumstance.

my moeny would be on spidey simply because he has made a career out of beating opponents you wouldn't think he could beat (Venom, Carnage, The Lizard, Hydro Man, Rhino, King Pin, Hob Goblin, Green Goblin, etc). In terms of super speed the Flash has a huge advantage over Spiderman, but Spidey is much smarter and a master of trash talk! Spiderman could probably play on Flash's childish attitude and ego and trick him into falling into some kind of trap he cooked up to slow him down. Also Spidey has super strength, one punch could probably send Flash flying through a wall or two! Spiderman also has spider sense, which would enable him to predict where Flash was coming from and thus give him time to dodge or counter attack. Hope that helps! (:

Spiderman has strength and webbing ability. The Flash has strength and speed. Since the Flash is so fast he can hit Spidey hundreds of times and avoid the webbing being shot at him. So my money would be on The Flash.

Flash wins in round 1. Objects gain mass as they pick up speed Flash would just run until he gianed enough mass to smash the Spider with one punch.

If it went 15 rounds Spider-Man would be dead.
However if Spider-Man knew he was coming he could spray the ring floor with webbing and then use him as a punching bag.
or
Spider-Man could put the webbing at neck level but that is too horrible to think of.

Maybe we should consult the writers of this little story. They could easily make it so Spiderman would win, although his chances are next to nonexistant, anything is possible in the comics:)
