Stephen Colbert would win by default.
Bill, being a big blowhard, would not show up.
Now, lets hear all the silly excuses why Bill couldn't show up!
1) he had to go bail Rush Limbaugh out of jail. (again!)
2)he had to go over his talking points with Karl Rove
3)damn lefties caused a huge traffic jam
4) terrorists sent posioned candy to the station. (again)
5)the dog ate the driving directions.
6)he had no clean underwear.

I would say Colbert, cause I have met him in perosn and he is in shape, BUT...O'Reilly has the genetic capabilities of fighting well due to his Irish background.
I think it would end up with both of them pulling a draw. They would knock each other out...and no winner would be found.
