I am upgrading from a AMD 3000+ XP cpu to a AMD 4000+ 939 cpu. Will the upgrade make it impossible to use the factory version of Windows I have? If no, do i need to make changes in anything after installation?

Yes you can use it on the computer your upgrading it and your still only useing it on one computer I would think because as long as your useing one Windows XP Home CD per computer your fine
