if you have an OEM version of Windows, you cannot upgrade your motherboard without buying a new license of Windows. Microsoft considers that a new computer and will make you pay for it.

You can replace the motherboard without a reinstall, but more than likely you'll have problems.

I've done it a couple of time as follows:
1) Back up your data.
2) Make sure you do #1 and it's a good back up.
3) Copy the device driver CD into a new location on the hard disk.
4) Go to Device Manager and remove all of the system devices. (The system won't allow you to remove some of them.)
5) Shut down and replace the hardware.
6) Start windows and have your OS CD ready. Windows should start finding all of the new hardware and ask for drivers. When asking for them, point it to the location where you copied the driver disk to.

I prefer a fresh install, but when that can't be done, the above method works ok. It does leave some old stuff lying around that you may have to clean up later.

you can change to whatever chipset is compatible with your processor type. that's not a bad chipset why do you want to change?

sometimes windows will be ok with a motherboard change. as long as windows has the drivers there is usually no problem when swapping out boards. make sure to have the CD handy.

you also want to back-up any important data, just in case...
