You may be able to find one used on line somewhere (eBay, craigslist, etc.) If you find an mp3 on line, copyright issues depend on if it's in public domain or not now. Since it's out of print and out of stock, even if someone owns the copyright to the CD, I doubt you'd have too much to worry about (but you didn't hear that from me because I generally don't support pirated music/movies -- seriously).

It is not legal to download it until the copyright expires. Even in that case a new performance would be copyrightable even if the song was in the public domain, such as Christmas songs.
Try Amazon.com
They usually point to new and used copies.
