probably not. This is because the OS is on your hard drive, not the processor. However, the OS may not be comaptible with your new processor. This would mean you have to reinstall it.

It should be able to boot and run the PC just find. You might have to updates driver(s) if the new board has a different video, audio, nic, etc from the old board.
You might also have problems that Windows could decided that, since the CPU has changed, it is not installed on the same PC, and might fail to do the Windows Authentication needed from Microsoft downloads. In that case, you would need to contact Microsoft and have them re-register the serial number to your new system.
