you should do it unless......
you are using a dual boot system with an older Windows O/S such as Win95/ Win98/ Win98SE as these systems can't read NTFS. If you are using WinNT, Win2kPro, WinXP Home or Pro then by all means i would convert, the advantages are many.

Well, NTFS is more save than FAT32 file system.
That's it, but if u use any backup strategy(to protect ur data) there wont be any difference at all.
And how are u going to convert FAT32 to NTFS?

A potential reason why you wouldn't want to go NTFS is if you had a dual OS setup on your pc with a OS below 2000 (like Win 98). Win 98 can't access NTFS partitions.
Outside of that, no reason not to go to NTFS.

NTFS more stable, supports long file names, support files with size >4GB, supports Hard Drives (or partitions) larger 32GB
