A penalty stops the clock. maybe they want the clock to keep going. It could be a loss of down. Most penalties don't include a loss of down. It's basically a do over with yards loss. So if it's 3rd down, the coaches might just decline the penalty instead of going up against a hot quarterback and wide receivers. They might want it 4th down and 3 instead of 3rd down and 8 or even 3rd down and 13. Most coaches would normally punt or try for a field goal at 4th and 3.

because if you throw for a first down, and there is a penalty on a play, the penalty might just be for a first down..if you accept, you'll have a first down back at the original ball spot..if you decline,you have a first down, where you threw the ball to which could be 30 yards closer then if you accepted.

let me give you a situation were you would decline a penalty say your team scores a touchdown but the defense got called for offsides would you want the touchdown or rerun the play 5 yards further from the original spot it is just judgment of which is better

becase some penalties restarts the play on the origanal down like when its suppose to be 3rd down and 10 a penalty makes it 2rd and or 15

Simply because the play gained/lost more yardage than the penalty would have given them. It's all about field position or who scored and etc....

lets say on a play, there is a 90 yard TD reception by a wr, but defensive pass interference is called on the CB who coveres him, and it happend about 10 yards off the Line of Scimmage.

Which would you take: 90 yds and a TD or 10 yards?

Because they would gain less yardage, or on defense they would rather have the opposing offense lose a down and no yardage than yardage and no down.
