If it's TD only for QBs, Rbs etc... then Team 1 will hold onto that lead. I assume Kickers get points for FGs and XPs so Vinatieri is HUGE. That 9-point lead will be more like 12 or 14.

Addai has been a non-factor recently. Manning will match Palmer & Housh (especially with Indy being so bad vs the run, Rudi Johnson will steal a TD or two from their stats)

Team 2 has the advantage by have more players but Indy's pass defense is good. So I'm going out on a limb and saying that Team 1 will win but not by much

Team 2 will definitely win. Manning and Vinatieri will probably score around 30 points combined. Palmer will get around 20, Housh will get around 10, Addai will get around 10, and it will be a Team 2 victory.
