the match(i.e. 2 innings for each side) MUST be finished in 5 days or else its a draw. So, e.g., if an excellent team is playing a terrible team, there is no use in batting for the first 3 days and scoring 2000 runs against them because even if you're opponent won't reach your score, the match won't get finished in time so you're heading for a draw. You should time it right to set a score for you're opponent to reach and then try and bowl them out before they make it.

The captain of the batting side may declare an innings closed, when the ball is dead, at any time during a match. Usually this is because the captain thinks his team has already scored enough runs to win the match, though tactical declarations are sometimes used in other circumstances. A captain considering declaration must balance the risks of declaring too early (thus setting too low a target for the opposing team) against those of declaring too late or not at all (thus causing a draw by leaving insufficient time to complete the match).

The captain shall notify the opposing captain and the umpires of his decision to declare or to forfeit an innings.

If the team has a good lead the captain can declare so he doesn't have to waste time playing the rest of the innings. That way he has more time to get the other team out and win the test.

Captain Ponting declared because unless his team bowl England out before the close of play on the final day the match would be a draw, there is no firm rule about when, it is tactics, do I have enough runs so that my bowlers can give away a few and I still have a comfort zone, do I have enough time to bowl them all out, and as to How, he either informs the other captain at a convenient (for him) time or he just calls his players in.

Captain declares the innings after setting a target when he is quite sure that he has sufficient score on boardand the opposition cannot chase those runs and win the match.

Whe a team has avery strong target and when it is simply quite impossible for the opponent to reach it within time then the captain of the team tries to win the match by offering the opponent team to bat.

He can declare anytime he feels the team is in a commanding position. This is done so that they can put pressure on the opposite team, since they now have the time to bowl out the opposite team.
